Exhibitor Terms and Conditions

1. Defined Terms

The term “Event” means Comic-Con, currently scheduled to be held on July 22–25, 2027 (the “Event Dates”) at the San Diego Convention Center (“Exhibit Facility”). The Event is owned, produced, and managed by San Diego Comic Convention (“SDCC”). The term “Organizer” means, collectively, SDCC, and each of its officers, directors, agents, affiliates, representatives, employees and assigns, unless the context requires otherwise. The term “Exhibitor” means, collectively: (a) the company, any other business entity, or person that applied for exhibit space rental and agreed to enter into this contract upon acceptance by SDCC in the manner stated

below; and (b) each of its officers, directors, shareholders, employees, contractors, agents, representatives, or invitees, as applicable.

2. Contract Acceptance

This contract will become binding and effective only when it has been signed on the facing page by both Exhibitor and a duly authorized representative of SDCC.

3. Deposit Policy

All exhibitors other than Small Press and Artists’ Alley exhibitors must submit a deposit of 25% of the total exhibit space cost with their applications. Applications will remain inactive until the required deposit is received. Exhibitors eligible for multi-show discounts from Comic-Con 2026 may apply such discounts toward their deposit for Comic-Con 2027. Discounts apply only within these periods: On-site discount (July 23–August 1, 2026) and Early Payment discount (August 2–December 31, 2026). No discounts apply after December 31, 2026. Final payment must be received 90 days before the Event (by April 23, 2027). Failure to timely pay will result in forfeiture of the exhibit space and loss of deposit. Small Press and Artists’ Alley exhibitors are exempt from initial deposits but must pay for their table space within 30 days of placement confirmation, without eligibility for discounts.

4. Assumption of Risks; Releases

Exhibitor assumes all risks arising from or relating to its participation or presence at the Event, including, without limitation, all risks of theft, loss, harm, damage, or injury (including death), or adverse effects onExhibitor’s property, business, or profits, whether resulting from negligence, intentional acts, accidents, acts ofGod, or otherwise. Exhibitor retains sole responsibility for its property and any loss or damage to such property, regardless of whether stored in a courtesy storage area, and including any related subrogation claims by its insurer. Neither Organizer nor the Exhibit Facility accepts any responsibility, nor is a bailment created, for property delivered by or to Exhibitor. Exhibitor hereby fully, irrevocably, and forever releases and discharges Organizer and the Exhibit Facility, and each of their current and former officers, directors, shareholders, partners, affiliates, employees, agents, representatives, attorneys, predecessors, assignees, and successors (collectively, “Released Parties”), from any and all claims, actions, causes of action, demands, cross-claims, counterclaims, obligations, contracts, indemnities, contributions, suits, debts, accounts, controversies, rights, damages, costs, attorneys’ fees, losses, expenses, and liabilities of any kind whatsoever, whether arising at law or in equity (collectively, “Claims”), that Exhibitor has, had, or may in the future accrue, individually or collectively, related in any way to Exhibitor’s participation in or presence at the Event. Exhibitor acknowledges that after executing this Agreement, it may discover facts or incur claims previously unknown or unsuspected which, if known at the time, might have materially affected Exhibitor’s decision to enter into this Agreement. Exhibitor acknowledges and agrees that by executing this Agreement, including this release, it assumes the risk of such unknown facts and unsuspected claims. Exhibitor acknowledges that it has been advised of and expressly waives its rights under California Civil Code Section 1542 (“Section 1542”), which provides:

A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.

Exhibitor acknowledges that this release is intended as a complete and final release of all claims, known and unknown, and it hereby knowingly and voluntarily waives all rights and protections under Section 1542 or any comparable laws.

5. Indemnification

Exhibitor agrees to indemnify, defend (with counsel reasonably acceptable to SDCC), and hold harmless Organizer and the Exhibit Facility, along with their officers, directors, employees, agents, and representatives, against any and all claims, demands, suits, liabilities, damages, losses, costs, reasonable attorneys’ fees, and expenses arising from or connected with: (a) Exhibitor’s participation or presence at the Event; (b) Exhibitor’s breach of any agreements, covenants, promises, or other obligations under this Agreement; (c) any responsibilities allocated to Exhibitor under this Agreement; (d) any actual or alleged violation or infringement of any law, ordinance, patent, copyright, trademark, trade secret, or other proprietary right by Exhibitor; (e) libel, slander, defamation, or similar claims resulting from Exhibitor’s actions; (f) harm or injury (including death) sustained by Exhibitor or Exhibitor’s representatives; and (g) loss or damage to Exhibitor’s property, business, or profits, regardless of cause, including negligence, intentional acts, accidents, acts of God, theft, or unexplained disappearance. Exhibitor will not settle or compromise any claims involving Organizer without Organizer’s prior written approval.

6. LIMITATION OF LIABILITY

UNDER NO CIRCUMSTANCES WILL ORGANIZER OR THE EXHIBIT FACILITY BE LIABLE FOR LOST PROFITS OR INCIDENTAL, SPECIAL, INDIRECT, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM ANY ACT OR OMISSION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ORGANIZER’S MAXIMUM AGGREGATE LIABILITY UNDER ANY CIRCUMSTANCE WILL NOT EXCEED THE AMOUNT ACTUALLY PAID BY EXHIBITOR TO SDCC FOR EXHIBIT SPACE RENTAL UNDER THIS AGREEMENT. Organizer makes no representations or warranties, express or implied, regarding Event attendance numbers or any other related matters.

7. Qualifications of Exhibitor

SDCC reserves the sole and absolute right to determine the eligibility of any prospective exhibitor to participate in the Event. Applicants who have not previously exhibited at a similar SDCC event may be required to provide a detailed description of their business and the products or services they intend to exhibit. SDCC further reserves the right, at its sole discretion, to restrict or remove any exhibit it deems objectionable or inappropriate. Only exhibitors whose products or services relate directly to comic books, comic strips, animation, or related popular culture items are eligible to participate. Exhibitors are prohibited from displaying or selling adult materials (as defined by the San Diego Municipal Code) unless expressly authorized in advance, in writing, by SDCC.

8. Assignment of Space

SDCC will assign exhibit space at its sole discretion for the Event and Event Dates only. Such assignment does not imply or guarantee a similar allocation for future events held by SDCC. SDCC reserves the right to modify the floor plan or relocate any exhibitor’s booth location at any time, including during the Event, if SDCC determines in its sole discretion that doing so is in the best interests of the Event.

9. Cancellation by Exhibitor

Partial cancellation of exhibit space is generally prohibited and may occur only with SDCC’s prior written consent, which SDCC may grant or deny at its sole discretion. Exhibitors canceling their reserved space more than 90 days prior to the Event’s opening date will receive a refund of amounts paid, less a $50.00 administrative fee. Exhibitors canceling less than 90 days but more than 60 days prior to the Event’s opening date will be responsible for a cancellation fee equal to 50% of the total amount due. No refunds will be provided for cancellations made less than 60 days prior to the Event’s opening date. Exhibitor is responsible for payment of any outstanding amounts owed under this Agreement.

10. Cancellation by SDCC

If Exhibitor fails to timely remit any payment required under this Agreement, SDCC may immediately terminate this Agreement and cancel Exhibitor’s participation without further notice and without obligation to refund any amounts already paid. SDCC reserves the right, at its sole discretion, to deny Exhibitor access to move-in or booth setup if any payment remains outstanding. In such cases, SDCC may, but is not obligated to, occupy or otherwise dispose of the vacated space in a manner it deems appropriate, without releasing Exhibitor from its obligations under this Agreement. SDCC may also terminate this Agreement immediately upon written notice if Exhibitor breaches any of its obligations, with no obligation to refund prior payments and without releasing Exhibitor from liability arising from such breach. If SDCC removes or restricts an exhibit deemed objectionable or inappropriate in its sole discretion, the exhibitor will not be entitled to any refund.

11. Cancellation of the Event

If SDCC cancels the Event due to circumstances beyond its reasonable control (such as acts of God, war, governmental emergency, labor strikes, or unavailability of the Exhibit Facility), it will refund each Exhibitor’s space rental payment previously paid, less Exhibitor’s proportional share of costs and expenses already incurred. This refund constitutes full satisfaction of SDCC’s liability to Exhibitor. SDCC reserves the right to cancel, rename, relocate, or reschedule the Event. If the Event is renamed, relocated within the same city, or rescheduled to dates within 30 days earlier or later than originally planned, no refunds will be issued, and SDCC will assign comparable exhibit space to Exhibitor pursuant to this Agreement. If SDCC cancels the Event for reasons other than those described above, it will refund Exhibitor’s exhibit space rental payment, which will fully satisfy all obligations or liabilities of SDCC to Exhibitor under this Agreement.

12. Exhibit Space Occupancy

Exhibitor must adhere strictly to SDCC’s specified hours and dates for installing, occupying, and dismantling exhibits. If Exhibitor fails to set up its display in the assigned space at least one hour before the Event opens or leaves its space unattended during exhibit hours, SDCC has the right to repossess the space without providing any refund. Exhibitor must keep its exhibit fully staffed and open for business throughout the Event’s scheduled hours and may not dismantle or remove its display until the official close of the Event, as announced by SDCC. Exhibitor is prohibited from assigning or otherwise transferring its assigned exhibit space to any third party without SDCC’s prior written approval.

13. Listings and Promotional Materials

By participating in the Event, Exhibitor grants SDCC a fully paid, perpetual, non-exclusive license to use, display, and reproduce Exhibitor’s name, trade names, product names, and booth information in any event directory (whether print, electronic, or other media) and related promotional materials. SDCC will not be liable for any errors or omissions in Exhibitor’s listing, descriptions, or promotional materials. Exhibitor consents to SDCC photographing or recording its booth space, exhibit, and personnel before, during, or after Event hours and using such photographs or recordings for promotional purposes at SDCC’s sole discretion.

14. Care of Exhibit Facility

Exhibitor is responsible for promptly paying any costs arising from damage caused by Exhibitor, its employees, contractors, or representatives to the Exhibit Facility, associated facilities, booth equipment, or other parties’ property.

15. Taxes and Licenses

Exhibitor must obtain and maintain all necessary licenses, permits, approvals, and tax identification numbers required by applicable federal, state, and local laws and regulations governing its activities at the Event at its sole expense. Exhibitor is responsible for timely paying all applicable taxes, license fees, use fees, charges, levies, penalties, and assessments due to any governmental authority in connection with its participation in the Event.

16. Copyrighted Materials

Exhibitor will not list, display, or distribute copyrighted materials during the Event unless it has obtained all necessary rights and has paid all required royalties, fees, or other payments. If SDCC becomes aware, is notified, or otherwise reasonably believes that Exhibitor is listing, displaying, or distributing copyrighted materials without proper authorization or payment, SDCC may, in its sole discretion: (a) require Exhibitor to cease listing, displaying, or distributing the unauthorized materials; (b) prevent further distribution, display, or listing of the materials; or © revoke Exhibitor’s permission to participate in the Event.

17. Observance of Laws

Exhibitor must comply with all applicable federal, state, and local laws, codes, ordinances, rules, and regulations, and all Exhibit Facility rules and regulations, including union labor work rules. Without limiting the generality of the foregoing, Exhibitor agrees that its exhibit will comply with the Americans with Disabilities Act and related accessibility standards.

18. Additional Terms and Conditions

SDCC retains sole control over attendance policies. Except as explicitly stated in this Agreement, all amounts paid by Exhibitor are fully earned and non-refundable upon payment. Exhibitor must maintain decorum and adhere to standards of good taste at all times during the Event. In addition to SDCC’s right to close any exhibit or revoke acceptance of this Agreement, SDCC reserves the sole discretion to refuse participation in future SDCC events to any Exhibitor who violates or fails to comply with this Agreement or any associated rules and regulations. Any amendments or modifications to this Agreement must be made in writing and signed by an authorized SDCC representative.

19. No Assignment or Subletting.

Exhibitor will not assign, transfer, sublet, license, or otherwise permit any third party to occupy or use, in whole or in part, its assigned exhibit space without the prior express written consent of SDCC, which SDCC may withhold at its sole and absolute discretion. Exhibitor agrees that any attempted or actual unauthorized assignment, transfer, subletting, or licensing of the exhibit space will be null and void, result in immediate forfeiture of the exhibit space without refund, and may disqualify Exhibitor from participation in future events. Exhibitor further agrees it will not accept any payment, fee, or consideration from any third party in exchange for granting access or use of any portion of its exhibit space.

20. Exhibitor Service Guide

Approximately two months prior to the Event, SDCC will provide the Exhibitor Service Guide to the Primary Contact listed on this Agreement. The Exhibitor Service Guide will contain essential information regarding participation in the Event, including exhibitor rules and regulations, official contractor order forms, registration details, shipping and drayage instructions, utilities and facility services, display guidelines, and move-in and move-out schedules.

21. Incorporation of Rules and Regulations

Any matters relating to the Event that are not expressly covered by this Agreement will be resolved by SDCC in its sole discretion. SDCC reserves the right to adopt, amend, or revoke additional rules or regulations governing such matters from time to time, providing Exhibitor with reasonable notice. Such rules and regulations, whether communicated in the Exhibitor Service Guide or separately, are fully incorporated into this Agreement by reference and carry the same force and effect as if expressly stated herein. Exhibitor agrees to promptly observe and comply with all rules and regulations communicated by SDCC. This Agreement, together with the Exhibitor Service Guide and any additional rules or regulations adopted by SDCC, represents the complete understanding and agreement between the Parties concerning the subject matter hereof.

22. Governing Law

This Agreement will be governed by and construed under the laws of the State of California applicable to contracts entered into and performed within California, by California residents. Exhibitor agrees that the state and federal courts located in San Diego, California will serve as the exclusive venue for resolving any disputes arising out of, related to, or connected with this Agreement, including disputes regarding its breach. Exhibitor waives any right to contest personal or subject matter jurisdiction in these courts and agrees that venue is proper exclusively in San Diego, California.

23. Character of Displays: Use of Aisles and Common Areas

Distribution of samples, printed materials, and promotional items is strictly limited to the Exhibitor’s booth space. Exhibits must present all products or services tastefully, as determined solely by SDCC. All aisles, passageways, overhead spaces, and common areas remain exclusively under SDCC’s control; no signs, decorations, banners, advertisements, or special exhibits may be placed in these areas without SDCC’s prior written approval. Uniformed attendants, models, and other personnel must remain within their assigned booths. All advertising and promotional activities must occur solely within Exhibitor’s designated exhibit space. Exhibitors must arrange their equipment to ensure that visitors do not obstruct aisles or passageways when viewing equipment or demonstrations. Strolling entertainment or mobile advertisements outside the designated booth space are strictly prohibited.

24. Sound Advertisements

Devices for mechanical reproduction of sound or music are permitted, provided the sound is strictly controlled and does not extend beyond the Exhibitor’s booth space. Exhibitors are prohibited from using carnival-type attractions (animal or human), or noise-creating devices such as bells, horns, or megaphones. SDCC reserves the right, at its sole discretion, to determine whether sound interferes with other exhibitors or the Event. Exhibitor must promptly comply with any SDCC request to discontinue or reduce the volume of any sounds or music.

25. Fire and Safety Laws

Exhibitor must strictly comply with all applicable federal, state, and municipal fire and safety laws and regulations. Detailed fire and safety requirements will be provided in the Exhibitor Service Guide.

26. Rights of Offset; Enforcement

If Exhibitor is indebted to SDCC, whether under this Agreement or any other agreement, SDCC may, at its sole discretion, apply any refunds of exhibit booth fees due to Exhibitor against such outstanding indebtedness. In any legal action filed by SDCC to enforce the terms of this Agreement, the prevailing party will be entitled to recover its court costs and reasonable attorneys’ fees.

27. Terms and Conditions Updates

From time to time, SDCC may provide Exhibitor with additional materials specifying further terms and conditions for participation or presence at the Event, including without limitation those detailed in the “General Terms and Conditions.” Such additional terms and conditions are fully incorporated by reference and have the same effect as if explicitly set forth in this Agreement. Exhibitor acknowledges receipt and confirms its understanding of all provided terms and conditions, and agrees to be fully bound by them.
